Prior to the subscription period in Chordate Medical Holding AB’s (publ) (“Chordate Medical” or the “Company”) rights issue of approximately SEK 51.3 million (the “Rights Issue”), the Company has received additional subscription and underwriting commitments totaling approximately SEK 5.6 million, or approximately 11 % of the Rights Issue. In total, subscription commitments, underwriting commitments and subscription intentions amounts to approximately SEK 23 million, corresponding to approximately 45% of the Rights Issue.
Subscription and underwriting commitments
As previously communicated in a press release on November 17, 2022, Chordate Medical has received advance subscription commitments corresponding to approximately 33% of the Rights Issue from the Company’s main shareholders and members of the Company’s board and management. As communicated on December 20, 2022, the Company has also received subscription intentions from its Italian distributor of SEK 0.7 million. Additional subscription commitments from existing owners of approximately SEK 2.3 million, corresponding to 5% of the Rights Issue, are now being published. Prior to the subscription period, agreements on underwriting have also been entered into with a number of external investors. The issue guarantee is designed as a top guarantee and applies up to a subscription level of 80%. The total amount in the underwriting is approximately SEK 3 million, corresponding to approximately 6% of the Rights Issue.
In total, subscription commitments, underwriting commitments and subscription intentions thus amount to approximately SEK 23 million, corresponding to approximately 45% of the Rights Issue.

Västra Hamnen Corporate Finance AB acts as financial adviser and Wistrand Advokatbyrå acts as legal adviser to Chordate Medical in connection with the Rights Issue.
