Chordate offentliggör uppdaterad tidplan för avnotering

Bolagsstämman i Chordate Medical Holding AB (publ) (“Chordate” eller “Bolaget”) beslutade på extra bolagsstämma den 8 december 2025 bland annat att fatta beslut om avnotering av Bolagets aktier. Bolaget offentliggör nu uppdaterad tidplan för avnoteringen.

Avnotering

Styrelsen för Bolaget offentliggjorde genom pressmeddelande den 18 november 2025 sitt förslag att bolagsstämman skulle besluta om att avnotera Bolagets aktier från Nasdaq First North Growth Market (“Marknadsplatsen”) enligt II.1.B) i Regler om avnotering av aktier på emittentens initiativ utgivna av Aktiemarknadsnämndens självregleringskommitté (ASK). Bolagsstämman beslutade den 8 december 2025 om avnotering i enlighet med styrelsens förslag. I pressmeddelandet lämnades en preliminär tidplan för avnoteringen.

Bolaget meddelar nu, med justering av den preliminära tidplanen, uppdaterad tidplan för avnoteringen.

Uppdaterad tidplan för avnoteringen

18 februari 2026: Ansökan om avnotering lämnas in till Marknadsplatsen.

Februari 2026: Marknadsplatsen godkänner avnotering och meddelar sista dag för handel. Bolaget offentliggör pressmeddelande om sista dag för handel.

Mars 2026: Sista dag för handel i Bolagets aktier på Marknadsplatsen, preliminärt två veckor efter det att Marknadsplatsen beslutat om avnotering.

Chordate announces updated timetable for delisting

The general meeting of Chordate Medical Holding AB (publ) (“Chordate” or “the Company”) resolved at an extraordinary general meeting on 8 December 2025, among other things, to delist the Company’s shares. The Company is now announcing an updated timetable for the delisting.

Delisting

In a press release dated 18 November 2025, the Board of Directors of the Company announced its proposal that the general meeting should resolve to delist the Company's shares from Nasdaq First North Growth Market (“the Marketplace”) in accordance with II.1. B) of the Rules on delisting of shares at the issuer's initiative issued by the Swedish Stock Market Self-Regulation Committee (Sw. Aktiemarknadens självregleringskommitté, ASK). On 8 December 2025, the general meeting resolved on delisting in accordance with the board's proposal. A preliminary timetable for the delisting was provided in the press release.

The company now announces, with adjustments to the preliminary timetable, an updated timetable for the delisting.

Updated timetable for the delisting

18 February 2026: Application for delisting submitted to the Marketplace.

February 2026: The Marketplace approves the delisting and announces the last day of trading. The company publishes a press release announcing the last day of trading.

March 2026: Last day of trading in the company's shares on the Marketplace, tentatively two weeks after the Marketplace has decided on the delisting.

Chordate Medical terminates the liquidity guarantee for the common share

Chordate Medical hereby announces that the company has terminated the agreement with Lago Kapital regarding the assignment as liquidity provider for the common share CMH.

The purpose of the liquidity provider has been to promote the liquidity of the company's common share, reduce volatility and facilitate trading. Chordate Medical assesses that the trading and liquidity in the share over time has been on an acceptable level and that the benefit of the liquidity provider is limited.

The last trading day on which the liquidity guarantee is in effect is 2026-01-15.

Syftet med likviditetsgarant har varit att främja likviditeten i bolagets stamaktie, minska volatiliteten samt underlätta handel. Chordate Medical bedömer att rådande handel och likviditet i aktien över tid legat på en acceptabel nivå och att nyttan av likviditetsgarant är begränsad.

Sista handelsdagen då Likviditetsgarantin är aktiv är 2026-01-15.

Chordate Medical terminates the liquidity provider agreement for the preference share

Chordate Medical hereby announces that the company has terminated the agreement with Lago Kapital regarding the assignment as liquidity provider for the preference share CMH Pref.

The purpose of the liquidity provider has been to promote the liquidity of the company's preference share, reduce volatility and facilitate trading. Chordate Medical assesses that the current trading and liquidity in the share is good and that the benefit of the liquidity provider is limited.

The liquidity guarantee expires on 2025-06-17.
